These Terms of Service ("Terms") govern your use of Ramapp Solutions' website at ramappsolutions.com and any services provided by Ramapp Solutions ("we," "us," or "our"). By engaging our services or submitting a project inquiry, you agree to be bound by these Terms. Please read them carefully before proceeding.
By accessing this website, submitting a contact form, signing a project proposal, or making any payment to Ramapp Solutions, you acknowledge that you have read, understood, and agree to these Terms in full. If you do not agree, you must not engage our services.
These Terms constitute the entire agreement between you ("Client") and Ramapp Solutions with respect to the subject matter herein and supersede all prior discussions, representations, or agreements.
Ramapp Solutions provides custom software development, AI integration, automation, and technology consulting services. Specific deliverables, timelines, and pricing are defined in individual project proposals or statements of work ("SOW") agreed upon in writing prior to project commencement.

Invoices unpaid beyond 14 days of the due date may incur a 1.5% monthly late fee. We reserve the right to pause work on any project with outstanding overdue invoices.
Client Ownership: Upon receipt of full payment, the Client owns all custom deliverables created specifically for their project, including source code, designs, and associated documentation. Ownership transfers completely upon final payment.
Portfolio Rights: Ramapp Solutions retains the right to display completed work in our portfolio, case studies, and marketing materials, unless the Client requests confidentiality in writing prior to project completion.
Third-Party Components: Deliverables may incorporate open-source libraries, frameworks, or third-party APIs. Such components remain subject to their own respective licenses. We will disclose any significant third-party components used in your project.
Ramapp IP: Any proprietary tools, frameworks, templates, or methodologies developed independently by Ramapp Solutions remain our intellectual property. Where such tools are incorporated into your deliverables, you receive a perpetual, royalty-free license to use them as part of your project.
Both parties agree to keep the details of the engagement — including project specifications, business strategies, technical architecture, pricing, and any proprietary information shared — strictly confidential during and after the project.

If a formal Non-Disclosure Agreement is required, we are happy to execute one prior to project discussions.
The project scope is defined in the agreed-upon proposal or SOW. Work outside that scope is considered a change request.
The Client is responsible for providing timely feedback, content, credentials, and approvals. Delays caused by the Client may result in adjusted delivery timelines at no penalty to Ramapp Solutions.

Disclaimer: All work is delivered "as-is" at the time of handoff. Ramapp Solutions makes no guarantee of specific business outcomes, revenue results, user acquisition numbers, or performance metrics arising from use of the deliverables. Technology and market conditions are outside our control.
We do not warrant that deliverables will be free of all bugs indefinitely. Post-delivery bug fixes within agreed scope are handled during the standard review period defined in the SOW. Issues arising from third-party service changes, Client modifications, or environmental factors are not covered under warranty.
To the maximum extent permitted by applicable law, Ramapp Solutions' total liability to the Client for any claims arising out of or related to this agreement — regardless of the form of action — shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
In no event shall Ramapp Solutions be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.
Either party may terminate a project engagement by providing 7 days' written notice to the other party.
Ramapp Solutions operates as an independent contractor. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency between the parties. We retain the right to perform services for other clients during any engagement, provided there is no direct conflict of interest.
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or in connection with these Terms shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with applicable rules before any litigation is pursued.
We may update these Terms from time to time to reflect changes in our services or legal requirements. The date at the top of this page reflects the most recent revision. Continued engagement with Ramapp Solutions after updates have been posted constitutes acceptance of the revised Terms. For active projects, material changes will be communicated directly.
